Terms of Service

These Terms of Service ("Terms") govern your access to and use of the BidMatchAI website, applications, and services (collectively, the "Service"), operated by KNA, Sole Proprietor ("BidMatchAI," "we," "us," or "our"). By creating an account, subscribing, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility & Accounts

You must be at least 18 years old and authorized to enter into these Terms on behalf of yourself or the business you represent. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

2. Description of the Service

BidMatchAI provides software tools that aggregate publicly available government contracting data, generate AI-assisted readiness, qualification, and win-probability estimates, and help contractors organize their bidding pipeline. The Service is an informational and productivity tool only. It does not submit bids on your behalf, does not guarantee any outcome, and is not a party to any contract between you and any government agency or third party.

3. No Professional Advice

Content and outputs from the Service — including AI-generated scores, recommendations, summaries, and roadmaps — are provided for general informational purposes and do not constitute legal, financial, accounting, procurement, or professional advice. You are solely responsible for verifying all information against official sources (including SAM.gov and the relevant contracting agency) and for your own bidding, compliance, and business decisions. 4. Third-Party & Government Data

The Service displays data sourced from third parties and government systems such as SAM.gov, USAspending.gov, and Grants.gov. We do not control and are not responsible for the accuracy, completeness, timeliness, or availability of such data. Solicitation details, deadlines, and set-aside designations may change or be withdrawn at any time; always confirm on the official posting before acting.

5. Subscriptions, Trials & Billing

  • Free trial: New subscriptions may include a 5-day free trial that requires a valid payment method. Unless you cancel before the trial ends, your subscription will automatically convert to a paid plan and your payment method will be charged.
  • Recurring billing: Paid plans renew automatically each billing period until cancelled. Prices are stated on our pricing page and may change with notice.
  • Payment processing: Payments are processed by Stripe. By subscribing, you authorize us and Stripe to charge your payment method. We do not store full card numbers.
  • Cancellation & refunds: You may cancel at any time from your dashboard. See our Refund & Cancellation Policy.

6. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) resell, scrape, or redistribute data or outputs except as permitted; (c) reverse engineer, interfere with, or attempt to gain unauthorized access to the Service; (d) upload malicious code or infringing content; or (e) misrepresent your identity or eligibility for any solicitation or set-aside. We may suspend or terminate accounts that violate these Terms.

7. Intellectual Property

The Service, including its software, design, and content (excluding your data and public government data), is owned by BidMatchAI and protected by law. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription. You retain ownership of the data you submit and grant us a license to process it to provide the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that any AI output or data is accurate or will lead to any award, contract, or result.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDMATCHAI AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY (INCLUDING LOST OR UNSUCCESSFUL BIDS), ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100.

10. Indemnification

You agree to indemnify and hold harmless BidMatchAI from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right, including any claim related to a bid, proposal, or contract you pursue.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if required by law. Upon termination, your right to use the Service ends; sections that by their nature should survive (including Sections 7–10) will survive.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in Texas, and you consent to their jurisdiction. Where permitted, you and BidMatchAI agree to first attempt to resolve disputes informally by contacting support@bidmatchai.io.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted here with an updated date and, where appropriate, notified by email. Your continued use of the Service after changes take effect constitutes acceptance.
